- Advice and draft contracts, acts, legal letters, and other documents; advice on agreements execution; advice on compliance & risk, data protection, intellectual property, labor, corporate and any commercial matter as necessary.
- Identify risks, and define strategies to mitigate them, strategize with internal partners’ creative win-win solutions or appropriate legal action to be taken.
- Review, draft and negotiate a wide range of consulting services, system integrator, outsourcing and technology contracts and subcontracts and licensing agreement with customers and suppliers as necessary.
- Collaborate with other members of the legal team of the parent company or other company functions to drive compliance with internal policies, processes and approvals.
- Stay abreast of legal developments in Vietnam, the EU and globally, affecting the company and implement them into company practices.
- Develop internal guidelines, procedures, toolkit and templates on legal, compliance, data protection matters and contracts.
- Assist on developing training materials and provide training to business on legal topic and best practices.
Requirements:
- Sound knowledge of employment matters
- Experience in understanding and addressing multi-jurisdictional legal and commercial issues, principles related to finance, intercompany operations.
- Excellent legal and business drafting, communication, negotiation and influencing skills – in Vietnamese and in English.
- Positive and proactive attitude, open minded, self-motivated and a team player; approachable with strong ethic; ability to work autonomously and deliver creative solutions under time pressure.
- Must be comfortable engaging with senior management with a demonstrated ability to build and maintain strong relationships.
- Admitted to practice law in Vietnam.
- Experience in consulting, systems, integration, digital services and outsourcing, preferably in a fast-paced corporate legal/transaction group for an IT service and/or similar business
- Strong knowledge of IT services and agreements standards, distribution and supplier agreements, commercial law, compliance, data protection, corporate law.
- Minimum 3 years of in-house experience in the ITC/technology sector.
